Course Description

Most lawyers in the United States engage in transactional practice. Unlike litigators who represent clients in court or administrative hearings, lawyers work with individuals or businesses to arrange their affairs, establish legal and organizational structures, and advise about compliance. This introduction will focus on one increasingly relevant aspect of that work—representing startups. The session will outline the typical steps in organizing a new business, including choosing an appropriate entity, arranging the relationships among the founders and any new investors or workers, protecting the enterprise’s intellectual property, and addressing any ethical issues that arise.

Learning Objectives

  • Participants will learn a model of effective interviewing of a small business client.
  • Participants will understand, at a general level, the alternative business structures available to a founder of a for-profit business.
  • Participants will learn a model of effective counseling of a small business client.
  • Participants will understand, at a general level, the differences among the intellectual property concepts of copyright, trademark, patent, and trade secrets.

Participants have 90 days to complete the course online after registration. To successfully complete the course and receive a certificate, participants must 1) read the Learning Objectives; 2) participate in the course; and 3) complete the course evaluation at the end of the course. After successfully completing the evaluation participants will be able to access their certificate of course completion.
